1. Agreement to Terms
Welcome to FeeComp. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and FeeComp ("Company," "we," "us," or "our") governing your access to and use of the FeeComp website, platform, and services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.
2. Description of Services
FeeComp operates a reverse insurance marketplace platform that connects consumers seeking insurance coverage with licensed insurance agents. Our Services include:
- For Consumers: Upload existing insurance policies and receive competitive quotes from licensed agents for auto, home, mortgage, and other insurance products
- For Licensed Agents: Access consumer leads, submit quotes, and compete for consumer business through our platform
Important: We are not an insurance company, insurance broker, or insurance agent. We do not sell, underwrite, or provide insurance products. We facilitate connections between consumers and independently licensed insurance professionals.
3. Eligibility
3.1 General Requirements
To use our Services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Provide accurate and complete registration information
- Not be prohibited from using our Services under applicable law
3.2 Additional Requirements for Agents
Licensed insurance agents must additionally:
- Hold valid, active insurance licenses in the states where they submit quotes
- Maintain all required professional certifications and credentials
- Provide accurate National Producer Number (NPN) and/or NMLS information
- Comply with all applicable insurance laws, regulations, and ethical standards
- Maintain errors and omissions (E&O) insurance coverage
4. Account Registration and Security
4.1 Account Creation
You must create an account to access certain features of our Services. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your authentication credentials confidential
- Notify us immediately of any unauthorized access to your account
4.2 Account Responsibility
You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account.
4.3 Account Termination
We reserve the right to suspend or terminate your account at any time for:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Providing false or misleading information
- Non-payment of fees (for agent accounts)
- Inactivity for an extended period
- Any other reason at our sole discretion
5. Consumer Terms
5.1 Policy Information
When you upload policy information or request quotes, you represent and warrant that:
- All information provided is accurate, complete, and current
- You have the authority to share such information
- You understand that inaccurate information may result in inaccurate quotes
5.2 Anonymization and Redaction
To protect your privacy during the quoting process, we use automated processes, including artificial intelligence, to redact personal contact information from your uploaded policy documents before they are shared with agents. While we employ commercially reasonable efforts to remove identifying information, we do not guarantee that all personally identifiable information will be successfully redacted in every instance. Automated redaction may not detect information embedded in unusual formats, images, or non-standard document layouts. You acknowledge and agree that FeeComp shall not be held liable for any inadvertent or accidental disclosure of your personal or contact information resulting from limitations of our automated redaction processes.
5.3 No Guarantee of Savings
We do not guarantee that you will receive quotes or that any quotes will result in savings compared to your current coverage. Quote amounts are estimates provided by independent agents and are subject to verification and final underwriting.
5.4 Agent Interactions
When you choose to work with an agent through our platform:
- You authorize us to share your contact information with that agent
- Any insurance policy you purchase is between you and the agent/carrier
- We are not a party to any insurance contract you enter into
- We are not responsible for the actions, advice, or performance of agents
5.5 Financial Data Authorization
If you choose to connect your financial accounts or authorize credit checks:
- You authorize us and our service providers (Plaid, Experian) to access the specified information
- You understand this information will be shared with agents to provide mortgage or other quotes
- You may revoke this authorization at any time through your account settings
6. Agent Terms
6.1 Licensing Verification
By registering as an agent, you authorize us to:
- Verify your licensing status with relevant state insurance departments
- Verify your NPN through the National Insurance Producer Registry (NIPR)
- Conduct background checks as permitted by law
- Periodically re-verify your credentials
6.2 Agent Conduct
As an agent using our platform, you agree to:
- Submit only accurate, good-faith quotes based on the information provided
- Respond to consumer inquiries in a timely and professional manner
- Comply with all applicable insurance laws, regulations, and ethical standards
- Not engage in deceptive, misleading, or high-pressure sales tactics
- Maintain the confidentiality of consumer information
- Not circumvent the platform to avoid fees or contact consumers outside the platform before quote acceptance
6.3 Fees and Payment
Subscription Fees
- Subscription plans are billed monthly or annually as selected
- Fees are non-refundable except as expressly stated herein or required by law
- We reserve the right to change subscription pricing with 30 days' notice
Quote Fees (Pay-Per-Quote)
- Quote fees are charged when you submit a quote to a consumer
- Fee amounts vary by insurance type and are displayed before quote submission
- Quote fees are generally non-refundable once a quote is submitted
Refund Policy
- Refund requests for quote fees may be submitted within 7 days of the charge
- Refunds may be granted at our sole discretion for technical errors or duplicate charges
- Subscription fees are not refundable for partial months
Payment Processing
- All payments are processed through Stripe
- You authorize us to charge your payment method for all applicable fees
- You are responsible for keeping your payment information current
- Failed payments may result in account suspension
7. Prohibited Conduct
You agree not to:
7.1 General Prohibitions
- Use the Services for any unlawful purpose
- Violate any applicable laws, regulations, or third-party rights
- Submit false, misleading, or fraudulent information
- Impersonate any person or entity
- Interfere with or disrupt the Services or servers
- Attempt to gain unauthorized access to any part of the Services
- Use automated means (bots, scrapers) to access the Services without permission
- Transmit viruses, malware, or other harmful code
- Harvest or collect user information without consent
- Use the Services to send spam or unsolicited communications
7.2 Agent-Specific Prohibitions
Agents additionally agree not to:
- Submit quotes without a valid license in the applicable state
- Provide quotes that are intentionally inaccurate or misleading
- Contact consumers outside the platform before quote acceptance to circumvent fees
- Share consumer information with third parties without authorization
- Engage in rebating or other prohibited insurance practices
- Disparage other agents or the platform
7.3 Consumer-Specific Prohibitions
Consumers additionally agree not to:
- Submit false information to obtain quotes
- Use the Services to harass or abuse agents
- Request quotes with no genuine intent to purchase insurance
8. Intellectual Property
8.1 Our Intellectual Property
The Services, including all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof), are owned by FeeComp or our licensors and are protected by copyright, trademark, and other intellectual property laws.
8.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose, subject to these Terms.
8.3 User Content
By submitting content to our Services (including policy documents, quotes, reviews, and other materials), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content as necessary to provide the Services.
8.4 Feedback
If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without restriction or compensation.
9. Disclaimers
9.1 "As Is" Basis
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9.2 No Insurance Advice
WE DO NOT PROVIDE INSURANCE ADVICE. ANY INFORMATION PROVIDED THROUGH OUR SERVICES IS FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS PROFESSIONAL INSURANCE ADVICE. YOU SHOULD CONSULT WITH A LICENSED INSURANCE PROFESSIONAL BEFORE MAKING INSURANCE DECISIONS.
9.3 Third-Party Services
WE DO NOT WARRANT OR GUARANTEE THE ACCURACY, RELIABILITY, OR QUALITY OF ANY QUOTES, INFORMATION, OR SERVICES PROVIDED BY AGENTS OR OTHER THIRD PARTIES THROUGH OUR PLATFORM.
9.4 Service Availability
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
10. Limitation of Liability
10.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FEECOMP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.
10.2 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
The limitations and exclusions in this section reflect the allocation of risk between the parties and are an essential basis of the bargain between us.
11. Indemnification
You agree to indemnify, defend, and hold harmless FeeComp and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you submit through the Services
- Your negligence or willful misconduct
- For agents: any insurance products you sell or services you provide
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at customerservice@feecomp.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.
12.2 Arbitration Agreement
If we cannot resolve a dispute informally, you and FeeComp agree to resolve any disputes through binding arbitration rather than in court, except that either party may bring claims in small claims court if eligible.
12.3 Arbitration Procedures
- Arbitration will be conducted by JAMS under its Streamlined Arbitration Rules
- The arbitration will take place in [State/Location] or via telephone/video at your election
- The arbitrator's decision will be final and binding
- Judgment on the arbitration award may be entered in any court of competent jurisdiction
12.4 Class Action Waiver
YOU AND FEECOMP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
12.5 Exceptions
This arbitration agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies that may be able to seek relief on your behalf.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on our website
- Updating the "Last Updated" date
- Sending you an email notification (for material changes)
Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and FeeComp regarding the Services.
15.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
15.5 Notices
We may provide notices to you via email, posting on the Services, or other reasonable means. You may provide notices to us at customerservice@feecomp.com.
15.6 Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, government actions, or internet service failures.
15.7 Independent Contractors
Agents using our platform are independent contractors and not employees, partners, or joint venturers of FeeComp.
